Terms of Service.

Panora Connect is owned and operated by Evercore Technologies Inc. and/or Evercore Technologies Incorporated, referred to in these Terms as Evercore, Panora Connect, we, us, or our. By accessing or using Panora Connect, my.panora.cc, our dashboard, Discord or Roblox integrations, scripts, APIs, subscriptions, support tools, or any related product or service we provide, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, do not access or use Panora Connect or any related service.

You must be at least 13 years old to use Panora Connect. Accounts found to be used by individuals under 13 may be terminated.

You agree to use Panora Connect only in a lawful, ethical, and authorized manner. You are responsible for maintaining the confidentiality of your account, linked accounts, credentials, workspace access, API keys, installed scripts, and authentication sessions.

Users participating in communities connected to Panora Connect, including Discord servers, Roblox groups, or other community spaces, must follow our community guidelines and the applicable rules of those platforms.

You may not use Panora Connect to spam, harass, abuse, impersonate, exploit, threaten, or otherwise harm others. Violations may result in removal from Panora-affiliated spaces, suspension of features, or termination of your account.

All content, trademarks, logos, software, scripts, documentation, designs, interfaces, and other intellectual property related to Panora Connect are the property of Evercore, Panora Connect, or our licensors.

You may not reproduce, distribute, modify, reverse engineer, create derivative works from, resell, or commercially exploit Panora Connect or any related materials without express written permission from Evercore.

We strive to provide reliable service, but Panora Connect is provided without any guarantee of uninterrupted availability. Scheduled maintenance, deployments, third-party outages, platform changes, network issues, or unforeseen technical problems may cause temporary disruptions.

Features that depend on Discord, Roblox, Stripe, PayPal, hosting providers, email providers, or other third-party systems may stop working if those providers experience outages, change their APIs, restrict access, or enforce their own policies.

By using Panora Connect, you authorize us to access and use information needed to provide the service, including Discord account information, Roblox account information, workspace settings, group information, public profile information, and other data you connect or submit.

If you log in with Discord, we may collect and use your Discord ID, username, avatar, email address if provided by Discord, server membership information, and related account metadata.

If you link a Roblox account or Roblox group, we may collect and use your Roblox username, user ID, group IDs, role information, public profile information, ranking and activity-related data, and related metadata needed to provide verification, ranking, activity, application, session, logbook, and workspace features.

We may link your Roblox and Discord accounts to provide integrated features, account verification, workspace controls, moderation tools, activity tracking, and other platform functionality.

You are responsible for all activity that occurs under your account, workspace, linked Discord account, linked Roblox account, scripts, API keys, bot configuration, and dashboard sessions.

Workspace owners and authorized staff are responsible for the commands, automations, ranking actions, experience actions, activity tracking settings, application center settings, ranking center settings, session settings, logbook records, leave-of-absence records, security settings, and other actions they configure or trigger through Panora Connect.

You must not share credentials, API keys, bot tokens, private scripts, or sensitive workspace access with unauthorized users. If you believe your account or workspace has been compromised, you must update your credentials and contact us promptly.

Panora Connect offers free plans and paid subscription plans. Features may include workspace management, Discord bot tools, Roblox verification, activity tracking, ranking tools, application centers, session tools, logbooks, leave-of-absence tools, API access, experience controls, support tools, and other current or future features.

Feature availability depends on plan level, configuration, third-party platform access, and account standing. We may add, remove, rename, limit, or modify features, plan limits, or access rules from time to time.

Some features require users to install scripts, connect accounts, authorize third-party services, configure API keys, or grant workspace permissions. You are responsible for reviewing and understanding any script, configuration, or permission you install or authorize.

Paid subscriptions are billed by Evercore Technologies Inc., the operator and parent company of Panora Connect. By subscribing to a paid plan, starting a paid trial, or continuing an active subscription, you authorize Evercore Technologies Inc., through its payment processing partners including Stripe, Inc. and/or PayPal, to automatically charge your selected payment method on file for the recurring subscription fee, applicable taxes, and any other agreed charges.

Automatic payments are enabled by default for active subscriptions. Automatic payments cannot be disabled separately from an active subscription. To stop future automatic charges, you must cancel your subscription before the next billing date.

Your billing page may show the next scheduled billing date and the expected subscription amount. Your bank statement may show EVERCORE T*, EVERCORE TECHNOLOGIES INC, Stripe, PayPal, or another related payment descriptor instead of Panora Connect.

You are responsible for providing accurate and complete billing information and keeping your payment method current. Payment information is securely processed by our payment processing partners and is not stored directly on Panora Connect servers, although we may store limited billing metadata such as plan, subscription status, customer ID, subscription ID, payment method brand, last four digits, invoice status, and billing dates.

You may update your payment method, cancel, resume, or switch your subscription through your account when those options are available. Panora Connect may suspend, restrict, or terminate accounts and subscriptions if we suspect fraud, abuse, nonpayment, chargeback activity, violation of these Terms, violation of our Privacy Policy, or violation of applicable third-party policies including Stripe, PayPal, Discord, or Roblox policies.

By subscribing, you acknowledge and agree that recurring charges will continue until you cancel your subscription or your account or subscription is suspended or terminated by Panora Connect.

If a free trial or promotional period is offered, billing may begin automatically when the trial or promotion ends unless you cancel before the trial or promotional period expires.

Subscriptions renew automatically at the selected billing interval until canceled. Cancellation stops future renewal charges but does not automatically refund prior charges or unused time.

If a subscription is canceled, downgraded, suspended, or fails payment, paid features may become unavailable immediately or at the end of the current billing period, depending on the account state and the feature involved.

Subscription payments are non-refundable except where required by law. Panora Connect may review refund requests on a case-by-case basis at its sole discretion.

Refund requests must be submitted within 7 days of the original transaction. Refunds will not be issued for charges older than 7 days, partial subscription periods, unused time, user-initiated cancellations, account termination for violations, failed third-party integrations, or loss of access caused by third-party platform action unless required by law.

If a recurring subscription payment fails, Evercore, through Stripe, PayPal, or another payment processing partner, may retry the payment. If payment cannot be collected, your subscription may be suspended, restricted, downgraded, or canceled.

Chargebacks, payment disputes, suspected fraud, or unauthorized payment activity may result in account review, suspension, feature restriction, subscription cancellation, or termination. You are responsible for updating your payment method to maintain uninterrupted service.

You are responsible for any content, configuration, messages, files, notes, applications, support submissions, scripts, automation rules, or other materials you create, upload, submit, or transmit through Panora Connect.

You must ensure your content and use of Panora Connect does not violate any law, third-party right, Roblox policy, Discord policy, payment processor policy, or other applicable rule. We may remove content or restrict access that we believe violates these Terms or creates risk for users, Panora Connect, Evercore, or third parties.

Some Panora Connect features may allow workspace owners or authorized staff to monitor activity, receive server data, send commands, run automations, or control in-game actions from the dashboard.

You are solely responsible for the actions you configure, authorize, trigger, or allow through Panora Connect, including any Roblox ranking changes, kicks, bans, commands, audit events, server controls, chat actions, scripts, automations, or other in-game or community actions.

You agree not to use Panora Connect to perform unauthorized actions, bypass Roblox or Discord rules, abuse users, disrupt communities, or violate applicable platform policies. We may restrict or disable features that create risk or violate these Terms.

You may not use Panora Connect for unlawful, harmful, fraudulent, deceptive, abusive, exploitative, or unauthorized purposes.

You may not interfere with the operation of Panora Connect, overload our systems, attempt to gain unauthorized access, bypass plan restrictions, abuse APIs, scrape data without permission, exploit vulnerabilities, resell unauthorized access, or use the service in a way that harms other users or third-party platforms.

You may not use Panora Connect to trigger unauthorized in-game actions, unauthorized ranking changes, spam, harassment, mass abuse, or other actions that violate Roblox, Discord, or community rules.

Panora Connect integrates with third-party platforms and providers including Discord, Roblox, Stripe, PayPal, hosting providers, email providers, analytics providers, security providers, and other infrastructure or support tools.

Panora Connect is not affiliated with, endorsed by, or sponsored by Discord Inc. or Roblox Corporation. All third-party trademarks and intellectual property belong to their respective owners.

Your use of third-party services may be subject to those third parties' own terms, policies, and enforcement decisions. We are not responsible for third-party outages, policy changes, account restrictions, payment declines, API limitations, data changes, or other actions outside our control.

We may send service, account, billing, security, legal, and support communications by email, dashboard notification, support chat, or other reasonable methods.

Service and account-related emails may be sent from @panora.cc addresses or from Evercore-controlled notification addresses such as [email protected].

Panora Connect is provided as-is and as-available without warranties of any kind, whether express or implied. We do not guarantee uninterrupted service, error-free operation, compatibility with every Discord or Roblox configuration, or that every feature will remain available permanently.

To the maximum extent permitted by law, Panora Connect, Evercore, our affiliates, officers, employees, contractors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of access, business interruption, chargebacks, platform enforcement actions, workspace disruption, in-game actions, or other damages arising out of or relating to your use of the service.

Panora Connect may suspend or terminate your account, workspace, subscription, feature access, API access, scripts, or related services at any time if you violate these Terms, fail to pay, create risk for the platform, engage in fraud or abuse, or violate third-party platform policies.

Upon termination, your right to use Panora Connect will immediately cease. Active subscriptions may be canceled or allowed to expire at our discretion, except where otherwise required by law.

Panora Connect and Evercore are not liable for failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, power outages, internet disruptions, labor disputes, government actions, security incidents, third-party service failures, platform outages, payment processor issues, or changes to Discord or Roblox systems.

Panora Connect may change subscription pricing, plan features, included limits, or billing intervals at any time. If pricing changes affect active paid subscribers, we will provide notice by email, dashboard notice, or another reasonable method before the change takes effect where required by law.

If you do not agree with updated pricing, you must cancel your subscription before the new pricing takes effect. Continued use of the service after the effective date of new pricing constitutes acceptance of the change.

We may revise these Terms at any time by posting updated Terms on our website or dashboard. Your continued use of Panora Connect after updated Terms are posted constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Florida for legal proceedings, except where applicable law requires otherwise.
